These Terms of Service govern your use of the Prime Care Global Trading website and your wholesale trade relationship with us. By submitting an enquiry or placing an order, you agree to these terms.

1. Company Information

Prime Care Global Trading is a UK-registered limited company. Our registered address and company number are available upon request. Contact: info@primecareco.net

2. Wholesale Orders

  • All orders are confirmed via a signed or approved Proforma Invoice (PI)
  • We reserve the right to refuse or cancel any order at our discretion
  • Order specifications, quantities, and pricing are binding once the PI is agreed and deposit is paid
  • Changes to confirmed orders may incur additional costs or delays

3. Pricing

  • All prices are quoted in USD unless otherwise agreed
  • Prices are factory-direct and valid for the period stated in the quotation
  • We reserve the right to adjust pricing for repeat orders based on material costs and market conditions
  • Customs duties, import taxes, and destination charges are the buyer's responsibility unless DDP is agreed

4. Payment Terms

  • Standard terms: 30% deposit upon order confirmation, 70% balance before shipment
  • Payment via Bank Transfer (T/T) unless otherwise agreed in writing
  • Orders are not entered into production until the deposit is received
  • Goods are not released for shipment until the balance is received

5. Quality & Inspection

  • All orders undergo pre-shipment quality inspection
  • Buyers may request an inspection report before approving shipment
  • Disputes must be raised within 30 days of delivery with supporting evidence

6. Shipping & Delivery

  • Shipping terms (EXW, FOB, CIF, DDP) are confirmed in the Proforma Invoice
  • Delivery timelines are estimates and may vary due to production, logistics, or customs factors
  • Risk of loss passes to the buyer at the agreed incoterm point

7. Intellectual Property

  • OEM designs, artwork, and branding submitted by the buyer remain the buyer's intellectual property
  • We will not share or reproduce buyer designs for other clients
  • NDA available upon request for sensitive product designs

8. Limitation of Liability

Our liability is limited to the value of the confirmed order. We are not liable for indirect, consequential, or incidental damages arising from delays, production issues, or shipping circumstances beyond our reasonable control.

9. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
